Terms & Conditions

1. Definitions

• Service: PraDocs.com and associated applications, APIs, integrations, and features.
• User: Any person or organization using PraDocs.
• Content: Files, documents, metadata, and other information uploaded or processed in PraDocs.
• Subscription Plan: Paid or free service plans defining access limits, pricing, and features.
• Controller / Processor: As defined under GDPR. Typically, the Customer acts as the Data Controller, and PraDocs acts as the Data Processor.
• Third-Party Services: External services integrated with PraDocs (e.g., AWS S3, Office 365, SharePoint, Collabora, Wasabi, Hetzner).

2. Eligibility & Account Registration

• You must be at least 18 years old to use PraDocs.
• By creating an account, you confirm that you have the legal authority to bind your organization (if applicable).
• You are responsible for safeguarding your account credentials and all activities under your account.

3. Use of Service

• You may only use PraDocs for lawful purposes.
• You agree not to: upload or distribute illegal, harmful, or infringing content; circumvent security features or attempt unauthorized access; or disrupt or overload the Service infrastructure.
• Organizations may appoint administrators who control user access and permissions.

4. Subscription, Billing & Payment

• Subscription fees are billed monthly or annually, depending on your chosen plan.
• Payments are non-refundable, except where required by law — see our Refund & Cancellation Policy.
• Taxes, duties, and levies (such as GST/VAT) are the customer's responsibility.
• We reserve the right to modify pricing with 30 days' notice for existing subscribers.
• Non-payment may result in account suspension or termination.

5. Free Trials

We may offer free trial accounts. After expiry, continued use requires a subscription. Data in inactive trial accounts may be deleted after 30 days of inactivity.

6. Data Ownership & User Content

You retain full ownership of content uploaded to PraDocs. By using the Service, you grant us a limited license to host, process, transmit, and display your content as required to deliver the Service. We do not claim ownership of your intellectual property.

7. GDPR, DPDP & Data Protection Compliance

PraDocs is committed to data privacy and compliance under global standards, including:

• GDPR (EU/UK) — General Data Protection Regulation. See our dedicated GDPR Compliance page.
• India DPDP Act, 2023 — Digital Personal Data Protection Act
• CCPA/CPRA (California, USA) — Consumer Privacy Rights
• HIPAA (USA, optional) — For healthcare customers under Business Associate Agreements

7.1 Roles & Responsibilities

The customer is the Data Controller — determines the purpose and means of processing personal data. PraDocs is the Data Processor — processes personal data only as instructed by the Controller.

7.2 Data Processing & Storage

Data is stored on secure cloud providers with industry-standard encryption. Data may be processed in jurisdictions outside your country, subject to applicable data transfer laws.

7.3 Data Subject Rights

You (and your end users) may exercise the following rights under GDPR/DPDP: right to access, rectification, erasure ("right to be forgotten"), restriction of processing, data portability, and objection. Requests may be sent to support@pradocs.com.

7.4 Data Retention & Deletion

Data is retained for the duration of the subscription. Upon account termination, data may be retained for 30–90 days for backup and audit purposes before permanent deletion. Customers may request early deletion in compliance with GDPR Article 17.

7.5 Breach Notification

In case of a data breach, we will notify affected customers within 72 hours as required under GDPR and DPDP.

8. Security Commitments

PraDocs implements: encryption (in transfer & storage), access controls (role-based), audit logs of document activity, and regular backups and recovery processes. Users are responsible for securing their devices, passwords, and access credentials.

9. Third-Party Services & Integrations

PraDocs integrates with services such as AWS S3, Office 365, SharePoint, Collabora, etc. We do not control and are not responsible for third-party service performance or policies. Use of third-party services is subject to their respective terms. See our Sub-Processor List.

10. Service Availability & SLA Disclaimer

We strive for 99.5% uptime, excluding maintenance and force majeure. We do not guarantee uninterrupted or error-free service. Scheduled maintenance windows will be announced in advance where possible.

11. Suspension & Termination

You may cancel your subscription at any time. We may suspend or terminate your account for non-payment, violation of these Terms, or legal or regulatory obligations. Data will be retained for 30–90 days after termination unless deletion is requested earlier.

12. Intellectual Property Rights

All software, logos, trademarks, and content on PraDocs (excluding your uploaded data) remain the property of Praathee Technologies Pvt Ltd. You may not reverse-engineer, copy, or redistribute our software without written consent.

13. Disclaimer of Warranties

PraDocs is provided "as is" and "as available." We disclaim all warranties, including implied warranties of fitness for a particular purpose.

14. Limitation of Liability

Our liability is limited to the subscription fees paid in the 12 months before the claim. We are not liable for data loss due to user actions, downtime caused by third-party providers, or indirect, incidental, or consequential damages.

15. Indemnification

You agree to indemnify and hold harmless Praathee Technologies Pvt Ltd from claims, damages, or losses arising from your uploaded content, your violation of laws or these Terms, or your use of third-party services through PraDocs.

16. Modifications to Terms

These Terms may change from time to time. Updated Terms will be published on PraDocs.com with a new effective date. Your continued use of the Service after any updates indicates your acceptance.

17. Governing Law & Jurisdiction

The laws of India shall govern these Terms. Any disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.
